PUBLIC OFFER (TERMS OF USE)
Mildway Online Store (website: mildway.ru)1. General Provisions1.1. This document constitutes an official offer (public offer) by Sole Proprietor Evgeny Alekseevich Golovanov (TIN 362103080174, OGRNIP 326508100307513), hereinafter referred to as the “Seller,” to enter into a contract for the remote sale of goods with any person who accepts the terms of this offer.
1.2. In accordance with Article 437 of the Civil Code of the Russian Federation, this document constitutes a public offer. The Buyer’s payment for the Goods in the manner specified on the Website shall be deemed acceptance of the terms of the offer.
1.3. The Seller reserves the right to unilaterally amend these Terms and Conditions. The revised version takes effect upon its publication on the Website. The Buyer agrees to regularly review the Terms and Conditions for any changes. Continued use of the Website following such changes constitutes acceptance of them.
2. Terms and Definitions2.1.
Website — a collection of web pages on the Internet linked by a single domain name
mildway.ru, which contain information about the Product, the Terms of Sale, and Orders.
2.2.
Product — StopSlip PRO, a product for applying anti-slip treatment to surfaces; information about it is available on the Website.
2.3.
Buyer — a legally capable individual or legal entity that has accepted the terms of this Offer.
2.4.
Order — a request by the Buyer to purchase the Product, submitted on the Website and approved by the Seller.
2.5.
Content — any text, graphics, audio, video, or other materials posted by the Buyer on the Website (including reviews and comments).
3. Order Placement and Payment Procedure3.1. The Buyer selects the Product on their own and places an Order on the Website.
3.2. An order is considered placed once the Buyer has filled out all the required fields in the shopping cart (contact information, shipping address, payment method) and clicked the “Place Order” button.
3.3. The Buyer’s full and unconditional acceptance of the terms of this Offer (Acceptance) is evidenced by payment for the Order.
3.4. The Seller reserves the right to refuse to process and ship an Order if the information provided by the Buyer is incomplete or inaccurate.
4. Price of the Product and Payment Terms4.1. The price of the Product is listed on the Website in Russian rubles and is final for the Buyer.
4.2. Payment for the Goods is made through payment systems integrated with the Website, in accordance with the method selected by the Buyer.
4.3. The Seller is not liable for the actions or errors of payment systems, nor for any delays related to their operation.
5. Shipping Terms5.1. The Goods shall be delivered to the address specified by the Buyer when placing the Order, under the terms agreed upon by the Parties.
5.2. Delivery times and costs are listed on the Website at the time the Order is placed and depend on the delivery region and shipping method.
5.3. Title to the Goods and the risk of accidental loss or damage pass to the Buyer upon delivery of the Goods to the carrier for shipment.
6. Product Information6.1. The Seller provides the Buyer with accurate information about the product’s consumer properties (composition, instructions for use, precautions) on the Website and on the product label.
6.2. The Buyer agrees to review the instructions for use of the Product and the safety precautions posted on the Website before using it.
7. Liability7.1. The Seller shall not be liable for any damage to the health, property, or life of the Buyer (or third parties) resulting from improper storage, transportation, or use of the Product in a manner inconsistent with its intended purpose, or from failure to follow the instructions for use.
7.2. The Seller shall not be liable for any consequences resulting from the use of the Product on surfaces not specified in the instructions (laminate, hardwood, wood, linoleum, PVC, rubber flooring, etc.), and requires the Buyer to conduct a preliminary test on an inconspicuous area.
7.3. The Seller shall not be liable for any failure of the Product to meet the Buyer’s expectations regarding the degree of improvement in slip resistance if the Buyer has not conducted preliminary testing on the specific type of surface in question.
7.4. The Seller’s maximum liability for any claim or demand is limited to the cost of the Goods paid by the Buyer under this Order.
8. Buyer Content (reviews, comments)8.1. The Buyer has the right to post reviews and comments about the Product on the Website in accordance with these terms and conditions. The Buyer is solely responsible for the content of any such Content.
8.2. You may not post Content that:
- contains threats, insults, profanity, or defames others;
- infringes the rights of third parties, including copyrights, related rights, and trademark rights;
- contains scenes of violence, drug promotion, and extremist content;
- contains personal data of third parties (full names, phone numbers, addresses) without their consent;
- is spam, advertising, or contains links to competitors' websites;
- contains information that is not related to the user's experience with the Product.
8.3. By posting Content on the Website, the Buyer grants the Seller, free of charge, a non-exclusive right to use such Content (including reproduction, adaptation, and distribution) for the purposes of the Website (including the publication of reviews in promotional materials) without payment of any compensation.
8.4. The Seller reserves the right to remove or edit Content if it violates these Terms or the laws of the Russian Federation, as well as to restrict the Buyer’s access to the Site’s features without prior notice.
9. Force Majeure9.1. The Parties shall be exempt from liability for partial or complete failure to perform their obligations under this Agreement if such failure resulted from circumstances beyond their control (natural disasters, actions by government authorities, military operations, epidemics, changes in legislation, government restrictions, and other circumstances beyond the control of the Parties).
10. Validity Period of the Offer and Procedures for Amending It10.1. This Offer takes effect upon its publication on the Website and remains in effect until it is revoked by the Seller.
10.2. The Seller reserves the right to unilaterally amend the terms of the Offer without prior notice to the Buyer. The revised version of the Offer takes effect upon its publication on the Website.
11. Final Provisions11.1. This Offer, as well as all relationships arising therefrom, shall be governed by the laws of the Russian Federation.
11.2. All disputes and disagreements shall be resolved through negotiation. If no agreement is reached, the dispute shall be resolved in court at the Seller’s place of business.
11.3. If any provision of this Offer becomes invalid or unenforceable, this shall not affect the validity of the remaining provisions.
11.4. No provision of these Terms grants the Buyer the right to use the Seller’s trade name, trademarks, domain names, or other distinctive marks.
